The regular meeting of the Chesapeake Airport Authority was held on Wednesday, February 10, 2016 at 7:00 p.m., at the Chesapeake Regional Airport, Chesapeake, Virginia.

CALL TO ORDER
Mr. CT Cowling declared a quorum present and called the February 2016 meeting to order at 7:10 p. m.

MINUTES
A motion was made and passed unanimously to accept the minutes from the meeting of January 2016 as previously circulated.  

TREASURER’S REPORT
Mr. Don Britt reported that he inspected the financial statements before the meeting and found them in order. A motion was made, seconded and passed to approve the financial reports for January 2016.

INVOICES

Mr. Chris Schrantz reviewed the invoices for the month: Progressive Insurance $1,414.00 (Annual Truck Premium); US Bank $1,100.00 (Bond Fee); and Pender & Coward $10,560.50 (Deal Property).

Operating Invoices over $1,000 covered by the annual check signing resolution or previously approved and paid in 2015 included: Talbert & Bright $4,693.37 (FBO Facility Study), $1,411.50 (CF6-18), $8,133.55 (CF6-20); Weeden & Associates $5,000.00 (DBE Program).

A motion was made, seconded and passed to pay the invoices over $1,000 for the January/February 2016.

CLOSED MEETING 
Mr. Vince Gordon moved that the Board of the Chesapeake Airport Authority convene in a closed meeting, pursuant to Virginia Code Section 2.2-3711(A)(5), for consultation with legal counsel and briefings by staff pertaining to actual or probable litigation, where such consultation or briefing in open meeting would adversely affect the negotiating posture of the Authority. The motion was duly seconded by Mr. Brian Miller and approved 7-0.

The open meeting reconvened at approximately 7:45 p.m.

CERTIFICATION OF CLOSED MEETING:
The Chairman called for a roll call vote on the following resolution:

Now, therefore, be it resolved that the Board of the Chesapeake Airport Authority hereby certifies that to the best of each member’s knowledge (i) only public business matters lawfully exempt from open meeting requirements under the Virginia Code, and (ii) only such public business matters as were identified in the motion by which the closed meeting was convened were heard, discussed or considered in the closed meeting.  A roll call vote was taken as follows:

Mr. Britt made a motion that the Chesapeake Airport Authority authorize the chairman to approve a settlement of the pending litigation involving the property acquisition required for the Runway Protection Zone up to the limits and terms recommended by legal counsel in the closed meeting and to execute any documents necessary to implement the settlement and to move the project forward.  The motion was seconded and unanimously approved.

OLD BUSINESS
Water System
Ms. Meredith Kennedy requested that the Manager continue to seek the availability of City water in lieu of replacing the water system.  Mr. Schrantz called public utilities yesterday to pursue this and was waiting for a call back. He received a quote for the sand filter treatment recommended by the engineer; it was twice the amount expected, at around $70,000 not including installation, permitting and engineering.

Rules and Review
Mr. Miller asked for any additional comments on the review of the Rules which he previously circulated. Mr. Schrantz advised that he will review the Rules and suggest a process for their further review and adoption by the Authority.

NEW BUSINESS
Audit Proposal
An RFP for Audit Services was circulated but only received one response, from Dixon Hughes and Goodman, the current audit firm.  Mr. Schrantz recommends accepting the Dixon Hughes Goodman proposal.  On behalf of the Finance Committee, Mr. Burke Craver agreed and moved to accept the Dixon Hughes Goodman Proposal; this motion was seconded and passed 7-0.

COMMITTEE REPORTS
Steering Committee
Mr. Miller asked for any comments and questions on the draft report from the Steering Committee previously emailed out to the members. Mr. Craver stated this is a blueprint and gives a possible route the Authority can take without locking the authority into anything. It was suggested that the Authority address the Report in segments over several meetings.

TALBERT & BRIGHT REPORT
Off-Airport Easement Acquisition/Obstruction Removal EA
Mr. Steve Peterson advised that revisions for the off-airport easement have been resubmitted to the FAA for review. Once approved, we can submit it to the DEQ and the Department of Historical Resources which has 90 days to approve it.  He hopes to seek funding in August.

North Terminal Area Apron Phase I & II
Mr. Steve Peterson stated that they are waiting on dry weather to being the apron project.

MANAGER’S REPORT
Mr. Chris Schrantz reported on the following:      

Member Resignation
Mr. Mike Lucarelli has submitted his resignation from the Authority.

AWOS
We are still waiting for Austin Electric to schedule the repairs on the AWOS.

Plane Mishap
A plane landed and its gear collapsed last week. Horizon was able to recover the airplane the following morning.

Legislative Day
Mr. Chris Schrantz discussed his participation in the event.

Flight School Repair Quotes
A quote of $59,461 was submitted by JES for the foundation work for the Flight School building.

Arrearages
Mr. Chris Schrantz stated that all arrearages have been collected from KBH, LLC.

MEMBERS COMMENTS
Mr. Miller stated that Mr. Richard Cheliras is doing well from his surgery. A discussion followed about the need to allow remote participation in the Authority meetings and recent changes to the agenda.

ADJOURNMENT
There being no further business, the meeting was adjourned.
